TERMS AND CONDITIONS OF SERVICE
Effective Date: January 1, 2025
1.2.These Terms apply to all services provided or arranged by DADA LIFE TIME JOURNEYS TRAVEL L.L.C, including but not limited to individual or group travel arrangements, packaged holidays, guided tours and excursions, hotel bookings and accommodation services, flight reservations, visa and travel documentation assistance, airport transfers and ground transportation, travel insurance assistance, concierge and personalized route planning, event-related and business-related travel coordination, booking support and advisory services, and any other related or ancillary travel products and services (referred to as the “Services”).
1.3.These Terms have been prepared to reflect good industry practice and legal standards, ensuring a balance between protecting the Client’s interest and enabling DADA LIFE TIME JOURNEYS TRAVEL L.L.C to deliver the travel services as agreed with the Client.
2.2.These Terms shall apply at all stages of engagement between DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client, including but not limited to:
2.2.1.communications (online or offline, written or verbal);
2.2.2.requests for quotations, itineraries, or proposals;
2.2.3.full or partial confirmation or modification of bookings;
2.2.4.commencement and/or receipt of any part of the Services.
2.3.These Terms shall be binding upon all individuals and entities who, directly or through representatives:
2.3.1.initiate communication in relation to the Services;
2.3.2.request a quotation, itinerary, or proposal for Services;
2.3.3.confirm or partially confirm the booking of Services;
2.3.4.receive or begin to receive any part of the Services;
2.3.5.make full or partial payment for the Services, whether on their own behalf or on behalf of third parties;
2.3.6.otherwise participate in, use, or benefit from the Services.
2.4.The Client hereby represents and warrants that:
2.4.1.they possess full legal capacity to enter into and be bound by these Terms;
2.4.2.all individuals on whose behalf the Client is acting, including those for whom the Client is making payment or who will receive or participate in the Services, also possess the requisite legal capacity;
2.4.3.the Client has obtained all necessary consents and authorizations from such individuals to act on their behalf;
2.4.4.the Client has informed all such individuals of these Terms, and they have acknowledged and accepted that these Terms shall be binding upon them to the extent applicable.
2.5.In cases where the Services have been initiated or partially or fully performed prior to the Client’s awareness or formal acceptance of these Terms, these Terms shall apply retrospectively, establishing and confirming the rights and obligations of DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client from the outset of their engagement, except where otherwise agreed in writing.
2.6.If a separate agreement or service contract has been executed between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C, such contract shall prevail over these Terms in the event of any inconsistency, but only to the extent of that inconsistency. In all other respects, and in matters not specifically governed by such an agreement or contract, these Terms shall continue to apply in a supplementary and interpretive capacity.
3.2.A proposal, itinerary, quotation, or any other offer of Services provided by DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall be deemed accepted and binding upon the Client once the Client confirms such offer, either explicitly (e.g., via written confirmation or payment) or implicitly (e.g., by providing personal data for booking, requesting execution of the itinerary, or otherwise taking actions that reasonably indicate acceptance). Any such explicit or implicit confirmation shall constitute a binding agreement between DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client with respect to the Services, as described in the relevant communication.
4.2.No additional expectations or assumptions beyond the scope of the Services determined and agreed as stipulated in cl. 3.1 hereof shall be deemed binding.
4.3.The Client acknowledges that the perception of service quality in the context of travel is inherently subjective and may be influenced by cultural expectations and individual engagement. Tourism-related services, by their nature, involve elements that depend on Client participation, flexibility, and local circumstances. The overall experience and satisfaction may therefore depend not only on the Services provided but also on how the Client chooses to engage with them. While DADA LIFE TIME JOURNEYS TRAVEL L.L.C endeavors to address reasonable concerns and accommodate individual preferences whenever possible, this may not always be feasible due to local conditions, operational constraints, or third-party limitations. DADA LIFE TIME JOURNEYS TRAVEL L.L.C appreciates the Client’s understanding and cooperation in such circumstances.
4.4.If the Client has any concerns or complaints regarding the Services, they are kindly requested to contact DADA LIFE TIME JOURNEYS TRAVEL L.L.C at welcome@dadatravel.club, unless another method of communication has been expressly agreed. DADA LIFE TIME JOURNEYS TRAVEL L.L.C will make reasonable efforts to address the issue and, where possible, take appropriate steps to improve the situation.
5.2.Unless expressly stated otherwise in the invoice, all prices indicated by DADA LIFE TIME JOURNEYS TRAVEL L.L.C are exclusive of any taxes, duties, levies, or other governmental charges, including but not limited to value-added tax (VAT), goods and services tax (GST), or similar indirect taxes.
5.3.While DADA LIFE TIME JOURNEYS TRAVEL L.L.C strives to ensure price stability, the Client acknowledges that certain external factors beyond the control of DADA LIFE TIME JOURNEYS TRAVEL L.L.C, such as changes 5.4.in currency exchange rates, transportation or fuel costs, regulatory charges, the need to provide additional or modified Services or other unforeseen circumstances, may result in an adjustment to the previously confirmed price. In such cases, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to revise the price accordingly and issue additional invoices to be paid by the Client.
6.2.The Services are subject to advance payment unless explicitly agreed otherwise in writing between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C.
6.3.The Client shall ensure that all payments are made in such a manner that DADA LIFE TIME JOURNEYS TRAVEL L.L.C receives the full invoiced amount in cleared funds, free from any deductions, withholdings, set-offs, bank charges, transaction fees, or currency conversion losses, including but not limited to bank transfer fees, intermediary or correspondent bank charges, or withholding taxes.
6.4.The Client shall be solely responsible for the payment of any and all taxes, levies, duties, or governmental charges applicable in their respective jurisdiction in connection with the payment or receipt of the Services. DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall bear no responsibility for such taxes, and the Client shall indemnify and hold harmless DADA LIFE TIME JOURNEYS TRAVEL L.L.C from and against any liability, claims, or costs arising from the Client’s failure to comply with applicable tax obligations.
6.5.In the event that any deduction or withholding is required or happens, the Client agrees to gross up the payment so that DADA LIFE TIME JOURNEYS TRAVEL L.L.C receives the full amount originally invoiced.
6.6.Payment of invoices by third parties is permitted only with the prior written consent of DADA LIFE TIME JOURNEYS TRAVEL L.L.C. In such cases, the Client remains fully responsible for ensuring that all payment obligations are fulfilled in accordance with these Terms, regardless of who makes the payment.
7.2.DADA LIFE TIME JOURNEYS TRAVEL L.L.C will make every reasonable effort to provide alternatives that are equal to or exceed the standard and quality of the originally confirmed Services. Where an alternative Service demonstrably exceeds the original in value or quality, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to adjust the price accordingly to reflect the enhanced level of service and to issue an additional invoice.
7.3.If modification or substitution of any part of the Services is deemed necessary by DADA LIFE TIME JOURNEYS TRAVEL L.L.C, but no reasonable alternative is available, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to cancel any part of the Services and the consequences set forth in Clause 8.5 of these Terms shall apply.
8.2.If cancellation by the Client occurs shortly before or after the commencement of the trip or the Services provision, or if the Client has already begun to use the Services, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to retain up to 100% of the paid amount to cover costs, damages, or misuse resulting from late-stage cancellation.
8.3.Failure by the Client to cooperate, provide complete and accurate information, or take necessary actions that prevent DADA LIFE TIME JOURNEYS TRAVEL L.L.C from delivering the Services, shall be treated as a cancellation by the Client and will result in the consequences set out in clauses 8.1 and 8.2 hereof.
8.4.In case of cancellation or interruption of the trip due to a force majeure event (including but not limited to natural disasters, political unrest, pandemic-related restrictions, or other extraordinary circumstances beyond the reasonable control), DADA LIFE TIME JOURNEYS TRAVEL L.L.C is not obligated to issue any refund. However, DADA LIFE TIME JOURNEYS TRAVEL L.L.C may, at its sole discretion and where reasonably possible, refund part of the amount paid by the Client, taking into account the actual expenses incurred and any non-recoverable or irreversible third-party costs. DADA LIFE TIME JOURNEYS TRAVEL L.L.C will also endeavor, where feasible, to negotiate with third-party suppliers for refunds or future credits on behalf of the Client.
8.5.DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to cancel any part of the Services in the event of operational, safety-related, legal, ethical or other reasonable considerations. In such cases, the Client shall be entitled to a refund in the amount corresponding to the value of the cancelled portion of the Services, unless an equivalent or superior alternative Service is offered and accepted by the Client.
8.6.Without prejudice to any other rights or remedies available to DADA LIFE TIME JOURNEYS TRAVEL L.L.C under these Terms or applicable law, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to immediately terminate the provision of Services, in whole or in part, by written notice to the Client, without any liability or penalty, in the event that:
8.6.1.the Client commits a material breach of these Terms or any agreement concluded with DADA LIFE TIME JOURNEYS TRAVEL L.L.C in connection with the Services;
8.6.2.The Client violates any applicable laws, regulations, or administrative requirements;
8.6.3.DADA LIFE TIME JOURNEYS TRAVEL L.L.C reasonably determines that continuing to provide the Services would pose a legal, ethical, reputational, or operational risk.
8.7.In such cases, the Client shall not be entitled to any refund or compensation except where required by mandatory provisions of applicable law. DADA LIFE TIME JOURNEYS TRAVEL L.L.C may, at its discretion, refund any unused portion of the Services, less any actual costs incurred and non-recoverable expenses.
8.8.Where refunds are due, DADA LIFE TIME JOURNEYS TRAVEL L.L.C will process the return of funds within a reasonable time frame, typically within 30 business days. However, the timing of refund shall depend on the receipt and timing of refunds from the relevant suppliers and subcontractors of DADA LIFE TIME JOURNEYS TRAVEL L.L.C.
9.2.The Client shall ensure that they possess valid passports, visas, travel authorizations, exit and entry permits, vaccination certificates, and any other documentation required by the relevant authorities for the duration of travel. This also includes meeting all applicable health, customs, and immigration requirements. The validity period of the passport must comply with the entry requirements of the destination country.
9.3.The Client shall behave in a respectful, ethical, and culturally appropriate manner throughout the journey, in accordance with the laws, customs, and traditions of the destination country.
9.4.The Client shall ensure that they are medically fit to use the Services as booked. The Client is advised to consult relevant health authorities or medicine professionals regarding any recommended or required vaccinations, prophylactic treatments, or medical precautions related to the destination.
9.5.While DADA LIFE TIME JOURNEYS TRAVEL L.L.C is not responsible for obtaining the mentioned documents and permissions, DADA LIFE TIME JOURNEYS TRAVEL L.L.C is ready to provide guidance, advice, and referrals to help the Client understand and fulfill these requirements in a timely and accurate manner.
9.6.The same requirements and recommendations as stipulated in clauses 9.1 – 9.4 hereof apply to any other travelers included in the booking or otherwise traveling as part of the Client’s group under the same travel arrangements. The Client is responsible for ensuring that all such individuals provide the necessary information accurately and in a timely manner. By submitting their details, the Client confirms that they are authorized to act on behalf of those individuals and that all information provided is true, complete, and up to date.
10.2.The Client agrees that participation in the Services is voluntary and undertaken at their own discretion and risk. DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall take all reasonable measures to promote safety and reliability during the execution of the Services, but it cannot eliminate all risks inherent in travel.
10.3.To the maximum extent permitted by applicable law, DADA LIFE TIME JOURNEYS TRAVEL L.L.C disclaims any liability for damages, losses, or incidents that may result from risks reasonably associated with the nature of the trip or the travel destination.
11.2.The Client undertakes to immediately inform DADA LIFE TIME JOURNEYS TRAVEL L.L.C in writing if the Client or any individual or entity covered under clause 11.1 hereof becomes subject to any sanctions or restrictions described above during the course of the relationship.
11.3.DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to refuse, suspend, or terminate the provision of Services without liability if it reasonably believes that continuing to provide Services would violate applicable sanctions laws or regulations.
12.2.DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall not be liable for any failure to perform, or delay in performing, any of its obligations under these Terms if and to the extent that such failure or delay is caused by a force majeure event or any act or omission of the Client or third parties acting on the Client’s behalf.
12.3.The Client agrees to fully indemnify and hold harmless DADA LIFE TIME JOURNEYS TRAVEL L.L.C from any claims, losses, damages, expenses, or liabilities arising from the Client’s use of the Services, breach of these Terms, misconduct or negligence (by the Client or those traveling under the same booking), any violations of applicable laws, or from third-party claims related to the Client’s actions or conduct during the trip.
12.4.To the maximum extent permitted by law, the total aggregate liability of DADA LIFE TIME JOURNEYS TRAVEL L.L.C for any and all claims arising out of or in connection with the Services shall be limited to the total amount paid by the Client for the specific Services giving rise to such claims.
13.2.Confidential Information may only be shared on a strict need-to-know basis with employees, consultants, auditors, or other authorized persons who have agreed in writing to maintain the confidentiality of such information to a standard no less strict than set out herein.
13.3.The obligations of confidentiality shall not apply to information that was already known prior to its receipt in connection with the services; was developed independently without reference to the Confidential Information; becomes publicly available through no fault or breach of confidentiality obligations; is lawfully obtained from a third-party source not bound by a duty of confidentiality.
13.4.These confidentiality obligations shall remain in force for a period of 10 years following the completion or termination of the relationship, regardless of the reason for such termination.
14.2.All disputes and disagreements which may arise out of or in connection with the provision of the Services in accordance with these Terms shall be settled as far as possible amicably between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C. If such efforts fail, any dispute, controversy, difference or claim arising out of or relating to the performance, validity, interpretation, breach, or termination of the relationship between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C, including any dispute regarding non-contractual obligations connected thereto, shall be submitted to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), which are deemed to be incorporated by reference into this clause.
The seat of arbitration shall be Dubai and the venue to hold arbitration proceedings shall be premises of the DIAC. The number of arbitrators shall be three The language to be used in the arbitral proceedings shall be English.
14.3.Any award(s) rendered by the arbitrator(s) shall be final and binding, and the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C hereby waive to the fullest extent permitted by law any right that it may otherwise have under the laws of any jurisdiction to any form of appeal or collateral attack. Application may be made to any court of competent jurisdiction with respect to enforcement of any award(s) and judgment on any award(s) rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
15.2.The headings of these Terms are inserted for reference purposes only and shall not affect the meaning or interpretation of any provision herein.
15.3.DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall have the right to assign and transfer its rights and obligations hereunder to any third party, provided that DADA LIFE TIME JOURNEYS TRAVEL L.L.C notifies the Client in writing of such assignment or transfer.
15.4.The Client hereby gives explicit consent to the processing of their personal data by DADA LIFE TIME JOURNEYS TRAVEL L.L.C and its authorized representatives in accordance with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), where applicable, and any relevant local legislation. This consent includes, but is not limited to, the collection, recording, storage, use, disclosure, transfer (including cross-border transfer), and deletion of personal data for the purposes of performance hereof and other legitimate business purposes. The Client also confirms that any personal data of third parties (including employees, contractors, or other individuals) disclosed or provided by the Client to DADA LIFE TIME JOURNEYS TRAVEL L.L.C has been collected and transferred in compliance with applicable data protection laws, and that the Client has obtained all necessary consents or has other legal grounds for such transfer. The Client undertakes to indemnify and hold harmless DADA LIFE TIME JOURNEYS TRAVEL L.L.C from any claims arising from the Client’s failure to comply with the foregoing obligation.

1.Scope and Purpose of these Terms and Conditions of Service
1.1.These Terms and Conditions of Service (the “Terms”) are intended to govern the relationship between you and/or any individual or entity receiving or intending to receive travel-related services (hereinafter referred to as the “Client”) and DADA LIFE TIME JOURNEYS TRAVEL L.L.C.1.2.These Terms apply to all services provided or arranged by DADA LIFE TIME JOURNEYS TRAVEL L.L.C, including but not limited to individual or group travel arrangements, packaged holidays, guided tours and excursions, hotel bookings and accommodation services, flight reservations, visa and travel documentation assistance, airport transfers and ground transportation, travel insurance assistance, concierge and personalized route planning, event-related and business-related travel coordination, booking support and advisory services, and any other related or ancillary travel products and services (referred to as the “Services”).

2.Terms Application and Binding Effect
2.1.These Terms shall govern all interactions, arrangements, and legal relationships between DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client concerning the provision of the Services.2.2.These Terms shall apply at all stages of engagement between DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client, including but not limited to:
2.2.1.communications (online or offline, written or verbal);
2.2.2.requests for quotations, itineraries, or proposals;
2.2.3.full or partial confirmation or modification of bookings;
2.2.4.commencement and/or receipt of any part of the Services.

3.Service Scope
3.1.The scope, content, and specific terms of the Services shall be determined and agreed through communication between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C, including but not limited to email, messaging platforms, telephone, online forms, or other means of correspondence.3.2.A proposal, itinerary, quotation, or any other offer of Services provided by DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall be deemed accepted and binding upon the Client once the Client confirms such offer, either explicitly (e.g., via written confirmation or payment) or implicitly (e.g., by providing personal data for booking, requesting execution of the itinerary, or otherwise taking actions that reasonably indicate acceptance). Any such explicit or implicit confirmation shall constitute a binding agreement between DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client with respect to the Services, as described in the relevant communication.
4.Quality of Services
4.1.DADA LIFE TIME JOURNEYS TRAVEL L.L.C is committed to delivering Services in a professional, responsible, and customer-oriented manner. Every reasonable effort is made to ensure that the Services meet high standards of quality and are aligned with the Client’s expectations, to the extent that such standards are objectively achievable and appropriate to the nature of the Services.4.2.No additional expectations or assumptions beyond the scope of the Services determined and agreed as stipulated in cl. 3.1 hereof shall be deemed binding.

5.Price
5.1.The price of the Services shall be based on the scope agreed upon between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C. Final pricing shall be set out in the invoice(s) issued by DADA LIFE TIME JOURNEYS TRAVEL L.L.C.5.2.Unless expressly stated otherwise in the invoice, all prices indicated by DADA LIFE TIME JOURNEYS TRAVEL L.L.C are exclusive of any taxes, duties, levies, or other governmental charges, including but not limited to value-added tax (VAT), goods and services tax (GST), or similar indirect taxes.

6.Payment Terms
6.1.Payment for the Services shall be made by the Client on the basis of invoices issued by DADA LIFE TIME JOURNEYS TRAVEL L.L.C. Unless otherwise stated in the invoice or separately agreed in writing between DADA LIFE TIME JOURNEYS TRAVEL L.L.C and the Client, all invoices must be paid in full within 2 business days from the date of issuance.6.2.The Services are subject to advance payment unless explicitly agreed otherwise in writing between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C.
6.3.The Client shall ensure that all payments are made in such a manner that DADA LIFE TIME JOURNEYS TRAVEL L.L.C receives the full invoiced amount in cleared funds, free from any deductions, withholdings, set-offs, bank charges, transaction fees, or currency conversion losses, including but not limited to bank transfer fees, intermediary or correspondent bank charges, or withholding taxes.
6.4.The Client shall be solely responsible for the payment of any and all taxes, levies, duties, or governmental charges applicable in their respective jurisdiction in connection with the payment or receipt of the Services. DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall bear no responsibility for such taxes, and the Client shall indemnify and hold harmless DADA LIFE TIME JOURNEYS TRAVEL L.L.C from and against any liability, claims, or costs arising from the Client’s failure to comply with applicable tax obligations.
6.5.In the event that any deduction or withholding is required or happens, the Client agrees to gross up the payment so that DADA LIFE TIME JOURNEYS TRAVEL L.L.C receives the full amount originally invoiced.
6.6.Payment of invoices by third parties is permitted only with the prior written consent of DADA LIFE TIME JOURNEYS TRAVEL L.L.C. In such cases, the Client remains fully responsible for ensuring that all payment obligations are fulfilled in accordance with these Terms, regardless of who makes the payment.
7.Modifications and Substitutions of Services
7.1.DADA LIFE TIME JOURNEYS TRAVEL L.L.C may, at its discretion and acting in good faith, modify or substitute confirmed Services (including but not limited to accommodation, schedule, locations, or service providers) with comparable alternatives, where necessary due to operational, logistical, or external factors beyond its control.7.2.DADA LIFE TIME JOURNEYS TRAVEL L.L.C will make every reasonable effort to provide alternatives that are equal to or exceed the standard and quality of the originally confirmed Services. Where an alternative Service demonstrably exceeds the original in value or quality, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to adjust the price accordingly to reflect the enhanced level of service and to issue an additional invoice.
7.3.If modification or substitution of any part of the Services is deemed necessary by DADA LIFE TIME JOURNEYS TRAVEL L.L.C, but no reasonable alternative is available, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to cancel any part of the Services and the consequences set forth in Clause 8.5 of these Terms shall apply.
8.Cancellation, Termination and Refund Policy
8.1.If the Client chooses to cancel the trip or any part of the agreed Services, DADA LIFE TIME JOURNEYS TRAVEL L.L.C will process the cancellation upon receiving a written notice. The amount refundable shall be determined at the discretion of DADA LIFE TIME JOURNEYS TRAVEL L.L.C, depending on the timing of the cancellation relative to the scheduled start of the Services and the extent of non-recoverable expenses already incurred.8.2.If cancellation by the Client occurs shortly before or after the commencement of the trip or the Services provision, or if the Client has already begun to use the Services, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to retain up to 100% of the paid amount to cover costs, damages, or misuse resulting from late-stage cancellation.
8.3.Failure by the Client to cooperate, provide complete and accurate information, or take necessary actions that prevent DADA LIFE TIME JOURNEYS TRAVEL L.L.C from delivering the Services, shall be treated as a cancellation by the Client and will result in the consequences set out in clauses 8.1 and 8.2 hereof.
8.4.In case of cancellation or interruption of the trip due to a force majeure event (including but not limited to natural disasters, political unrest, pandemic-related restrictions, or other extraordinary circumstances beyond the reasonable control), DADA LIFE TIME JOURNEYS TRAVEL L.L.C is not obligated to issue any refund. However, DADA LIFE TIME JOURNEYS TRAVEL L.L.C may, at its sole discretion and where reasonably possible, refund part of the amount paid by the Client, taking into account the actual expenses incurred and any non-recoverable or irreversible third-party costs. DADA LIFE TIME JOURNEYS TRAVEL L.L.C will also endeavor, where feasible, to negotiate with third-party suppliers for refunds or future credits on behalf of the Client.
8.5.DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to cancel any part of the Services in the event of operational, safety-related, legal, ethical or other reasonable considerations. In such cases, the Client shall be entitled to a refund in the amount corresponding to the value of the cancelled portion of the Services, unless an equivalent or superior alternative Service is offered and accepted by the Client.
8.6.Without prejudice to any other rights or remedies available to DADA LIFE TIME JOURNEYS TRAVEL L.L.C under these Terms or applicable law, DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to immediately terminate the provision of Services, in whole or in part, by written notice to the Client, without any liability or penalty, in the event that:
8.6.1.the Client commits a material breach of these Terms or any agreement concluded with DADA LIFE TIME JOURNEYS TRAVEL L.L.C in connection with the Services;
8.6.2.The Client violates any applicable laws, regulations, or administrative requirements;
8.6.3.DADA LIFE TIME JOURNEYS TRAVEL L.L.C reasonably determines that continuing to provide the Services would pose a legal, ethical, reputational, or operational risk.
8.7.In such cases, the Client shall not be entitled to any refund or compensation except where required by mandatory provisions of applicable law. DADA LIFE TIME JOURNEYS TRAVEL L.L.C may, at its discretion, refund any unused portion of the Services, less any actual costs incurred and non-recoverable expenses.
8.8.Where refunds are due, DADA LIFE TIME JOURNEYS TRAVEL L.L.C will process the return of funds within a reasonable time frame, typically within 30 business days. However, the timing of refund shall depend on the receipt and timing of refunds from the relevant suppliers and subcontractors of DADA LIFE TIME JOURNEYS TRAVEL L.L.C.
9.Client Obligations
9.1.The Client shall provide to DADA LIFE TIME JOURNEYS TRAVEL L.L.C all requested personal details. The necessary details may vary depending on the trip, and typically include but are not limited to the Client’s full name, date of birth, nationality, passport number, passport issue and expiry dates.9.2.The Client shall ensure that they possess valid passports, visas, travel authorizations, exit and entry permits, vaccination certificates, and any other documentation required by the relevant authorities for the duration of travel. This also includes meeting all applicable health, customs, and immigration requirements. The validity period of the passport must comply with the entry requirements of the destination country.
9.3.The Client shall behave in a respectful, ethical, and culturally appropriate manner throughout the journey, in accordance with the laws, customs, and traditions of the destination country.
9.4.The Client shall ensure that they are medically fit to use the Services as booked. The Client is advised to consult relevant health authorities or medicine professionals regarding any recommended or required vaccinations, prophylactic treatments, or medical precautions related to the destination.
9.5.While DADA LIFE TIME JOURNEYS TRAVEL L.L.C is not responsible for obtaining the mentioned documents and permissions, DADA LIFE TIME JOURNEYS TRAVEL L.L.C is ready to provide guidance, advice, and referrals to help the Client understand and fulfill these requirements in a timely and accurate manner.
9.6.The same requirements and recommendations as stipulated in clauses 9.1 – 9.4 hereof apply to any other travelers included in the booking or otherwise traveling as part of the Client’s group under the same travel arrangements. The Client is responsible for ensuring that all such individuals provide the necessary information accurately and in a timely manner. By submitting their details, the Client confirms that they are authorized to act on behalf of those individuals and that all information provided is true, complete, and up to date.
10.Assumption of Risk and Travel Conditions
10.1.The Client acknowledges that certain travel arrangements offered by DADA LIFE TIME JOURNEYS TRAVEL L.L.C may involve an element of personal risk, including but not limited to risks arising from the geographical, cultural, climatic, health, or political conditions of the destination.10.2.The Client agrees that participation in the Services is voluntary and undertaken at their own discretion and risk. DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall take all reasonable measures to promote safety and reliability during the execution of the Services, but it cannot eliminate all risks inherent in travel.
10.3.To the maximum extent permitted by applicable law, DADA LIFE TIME JOURNEYS TRAVEL L.L.C disclaims any liability for damages, losses, or incidents that may result from risks reasonably associated with the nature of the trip or the travel destination.
11.Sanctions Compliance
11.1.The Client represents and warrants that neither the Client nor any individual or entity on whose behalf the Client is acting, including but not limited to recipients, beneficiaries, or users of the Services, is listed on any sanctions or restricted parties list maintained by the United Nations, European Union, United Kingdom, United States (including the U.S. Department of the Treasury’s Office of Foreign Assets Control – OFAC), or any other applicable national or international sanctions authority; and/or located in, organized under the laws of, or ordinarily resident in a country or territory that is the subject of comprehensive international sanctions; and/or otherwise the target of any applicable economic, financial, or trade sanctions.11.2.The Client undertakes to immediately inform DADA LIFE TIME JOURNEYS TRAVEL L.L.C in writing if the Client or any individual or entity covered under clause 11.1 hereof becomes subject to any sanctions or restrictions described above during the course of the relationship.
11.3.DADA LIFE TIME JOURNEYS TRAVEL L.L.C reserves the right to refuse, suspend, or terminate the provision of Services without liability if it reasonably believes that continuing to provide Services would violate applicable sanctions laws or regulations.
12.Liability and Indemnity
12.1.DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall not be liable for any indirect or consequential losses and loss of profit, that may arise in connection with the use or provision of the Services.12.2.DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall not be liable for any failure to perform, or delay in performing, any of its obligations under these Terms if and to the extent that such failure or delay is caused by a force majeure event or any act or omission of the Client or third parties acting on the Client’s behalf.
12.3.The Client agrees to fully indemnify and hold harmless DADA LIFE TIME JOURNEYS TRAVEL L.L.C from any claims, losses, damages, expenses, or liabilities arising from the Client’s use of the Services, breach of these Terms, misconduct or negligence (by the Client or those traveling under the same booking), any violations of applicable laws, or from third-party claims related to the Client’s actions or conduct during the trip.
12.4.To the maximum extent permitted by law, the total aggregate liability of DADA LIFE TIME JOURNEYS TRAVEL L.L.C for any and all claims arising out of or in connection with the Services shall be limited to the total amount paid by the Client for the specific Services giving rise to such claims.
13.Confidentiality
13.1.Any information relating to the business relationship, terms of cooperation, or any data obtained in connection with the provision of services shall be considered confidential (“Confidential Information”) and shall not be disclosed to any third party or used for any purpose other than the proper execution of the agreed services, unless prior written consent has been obtained from the other side involved.13.2.Confidential Information may only be shared on a strict need-to-know basis with employees, consultants, auditors, or other authorized persons who have agreed in writing to maintain the confidentiality of such information to a standard no less strict than set out herein.
13.3.The obligations of confidentiality shall not apply to information that was already known prior to its receipt in connection with the services; was developed independently without reference to the Confidential Information; becomes publicly available through no fault or breach of confidentiality obligations; is lawfully obtained from a third-party source not bound by a duty of confidentiality.
13.4.These confidentiality obligations shall remain in force for a period of 10 years following the completion or termination of the relationship, regardless of the reason for such termination.
14.Governing Law and Jurisdiction
14.1.The relationship between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C, including the provision of the Services in accordance with these Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.14.2.All disputes and disagreements which may arise out of or in connection with the provision of the Services in accordance with these Terms shall be settled as far as possible amicably between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C. If such efforts fail, any dispute, controversy, difference or claim arising out of or relating to the performance, validity, interpretation, breach, or termination of the relationship between the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C, including any dispute regarding non-contractual obligations connected thereto, shall be submitted to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), which are deemed to be incorporated by reference into this clause.
The seat of arbitration shall be Dubai and the venue to hold arbitration proceedings shall be premises of the DIAC. The number of arbitrators shall be three The language to be used in the arbitral proceedings shall be English.
14.3.Any award(s) rendered by the arbitrator(s) shall be final and binding, and the Client and DADA LIFE TIME JOURNEYS TRAVEL L.L.C hereby waive to the fullest extent permitted by law any right that it may otherwise have under the laws of any jurisdiction to any form of appeal or collateral attack. Application may be made to any court of competent jurisdiction with respect to enforcement of any award(s) and judgment on any award(s) rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
15.Miscellaneous
15.1.In the event that any term or condition contained in these Terms is unenforceable or void by operation of law or as being against public policy or for any other reason, then such term or condition shall be deemed to be severed from these Terms or amended accordingly only to such extent necessary to allow all remaining terms and conditions to survive and continue as binding.15.2.The headings of these Terms are inserted for reference purposes only and shall not affect the meaning or interpretation of any provision herein.
15.3.DADA LIFE TIME JOURNEYS TRAVEL L.L.C shall have the right to assign and transfer its rights and obligations hereunder to any third party, provided that DADA LIFE TIME JOURNEYS TRAVEL L.L.C notifies the Client in writing of such assignment or transfer.
15.4.The Client hereby gives explicit consent to the processing of their personal data by DADA LIFE TIME JOURNEYS TRAVEL L.L.C and its authorized representatives in accordance with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), where applicable, and any relevant local legislation. This consent includes, but is not limited to, the collection, recording, storage, use, disclosure, transfer (including cross-border transfer), and deletion of personal data for the purposes of performance hereof and other legitimate business purposes. The Client also confirms that any personal data of third parties (including employees, contractors, or other individuals) disclosed or provided by the Client to DADA LIFE TIME JOURNEYS TRAVEL L.L.C has been collected and transferred in compliance with applicable data protection laws, and that the Client has obtained all necessary consents or has other legal grounds for such transfer. The Client undertakes to indemnify and hold harmless DADA LIFE TIME JOURNEYS TRAVEL L.L.C from any claims arising from the Client’s failure to comply with the foregoing obligation.
